Terms of Service

1. Acceptance of Terms

By accessing or using the Sakani Pro platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Sakani Pro Technology Co., a company registered in Riyadh, Kingdom of Saudi Arabia, under Commercial Registration number [CR Number].

2. Service Description

Sakani Pro is a cloud-based property management platform designed for the Saudi Arabian real estate market. The Service provides:

• Property and unit management with portfolio analytics
• Tenant and lease management with Ejar contract integration
• Financial tracking, SADAD payment processing, and accounting reports
• Maintenance request handling and vendor management
• REGA compliance features and regulatory reporting
• Owner and tenant portals with self-service capabilities
• AI-powered analytics and smart property insights

We reserve the right to modify, update, or discontinue any aspect of the Service at any time with reasonable prior notice to active subscribers.

3. Account Registration

To access the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials and passwords
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Keeping your account information current and up to date

3.1 Account Requirements

• You must be at least 18 years of age to create an account
• You must provide a valid Saudi mobile number and email address
• Business accounts require a valid Saudi Commercial Registration (CR) or freelance certificate
• Identity verification through Nafath may be required for certain features

4. Subscription & Fees

4.1 Pricing

Subscription fees are based on the plan you select and the number of property units managed. All prices are displayed in Saudi Riyals (SAR) and are subject to applicable Value Added Tax (VAT) at the prevailing rate set by the Zakat, Tax and Customs Authority (ZATCA).

4.2 Payment Terms

• Subscriptions are billed monthly or annually in advance
• Payment is due upon invoice issuance or at the start of each billing cycle
• We accept SADAD, Mada, credit cards, and bank transfers
• Failed payments may result in service suspension after a 7-day grace period

4.3 Refunds

Annual subscriptions are eligible for a pro-rata refund within the first 30 days of purchase. Monthly subscriptions are non-refundable. Free trial periods do not require payment information.

5. User Obligations

You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable Saudi laws and regulations. You must not:

• Violate any applicable Saudi laws, regulations, or regulatory directives
• Use the Service for any fraudulent, deceptive, or unlawful purposes
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Upload malicious code, viruses, or harmful content
• Sublicense, resell, or redistribute the Service without written authorization
• Scrape, harvest, or collect data from the Service using automated tools

6. Intellectual Property

The Service, including all content, features, functionality, software, and design elements, is owned by Sakani Pro Technology Co. and is protected by Saudi and international copyright, trademark, and intellectual property laws.

• The Sakani Pro name, logo, and brand elements are registered trademarks
• You may not copy, modify, reverse-engineer, or distribute any part of the Service
• We do not claim ownership of your data; you retain all rights to content you upload
• Feedback and suggestions you provide may be used to improve the Service without obligation

7. Limitation of Liability

To the maximum extent permitted by Saudi law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied
• We do not warrant that the Service will be uninterrupted, error-free, or completely secure
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total aggregate liability is limited to the subscription fees you paid in the 12 months preceding the claim

8. Governing Law

These Terms are governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia, including but not limited to the Saudi Commercial Law, the Electronic Transactions Law, and all applicable royal decrees and ministerial resolutions.

9. Dispute Resolution

Any disputes arising from or relating to these Terms shall be resolved as follows:

• Step 1 - Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice
• Step 2 - Mediation: If negotiation fails, the dispute shall be submitted to mediation through the Saudi Center for Commercial Arbitration (SCCA)
• Step 3 - Litigation: If mediation fails, disputes shall be submitted to the competent courts in Riyadh, Kingdom of Saudi Arabia

The language of all proceedings shall be Arabic, with English translations provided as necessary.

10. Termination

10.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of your current billing period.

10.2 Termination by Us

We may suspend or terminate your account if:

• You materially breach these Terms
• You fail to pay subscription fees after the grace period
• Your use of the Service poses a security risk to others
• We are required to do so by law or regulatory directive

10.3 Effect of Termination

Upon termination, your access to the Service will cease. You will have 30 days to export your data through the platform's export features. After this period, your data may be deleted in accordance with our data retention policies and applicable Saudi law.
